The rules and conditions governing your use of ZYANIX services.

These Terms of Service ("Terms") govern your use of ZYANIX's website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully.

1. Services

ZYANIX provides digital solutions including web development, AI automation, cloud infrastructure, cybersecurity, and technical support services through five divisions: ZYANIX Web, ZYANIX Automation, ZYANIX Cloud, ZYANIX Security, and ZYANIX Support.

2. Service Agreements

Each project begins with a written proposal outlining the scope, timeline, deliverables, and pricing. Work commences only after the client approves the proposal and makes the agreed initial payment. The proposal, once accepted, forms a binding service agreement.

3. Our Guarantees

3.1 One-Week Delivery Guarantee

ZYANIX commits to delivering most standard projects within 7 business days of project commencement. If we fail to meet the committed delivery timeline:

  • The client may receive the service free of charge, subject to project terms specified in the proposal
  • We will continue working on the project until client satisfaction is achieved
  • The specific terms of the delivery guarantee are outlined in each project proposal

3.2 Free Rebuild Guarantee

If a client is not satisfied with the final delivery after revisions, ZYANIX will rebuild the project from scratch at no additional cost. This guarantee applies when:

  • The client has provided clear feedback and revision requests
  • The rebuild request is made within 30 days of final delivery
  • The rebuild scope does not exceed the original project scope

3.3 No-Pay-If-Late Policy

If ZYANIX fails to deliver within the committed timeline, the client may be entitled to receive the service free of charge. The specific terms are outlined in each project proposal and may vary based on project complexity and circumstances beyond our control.

4. Client Responsibilities

Clients are responsible for:

  • Providing accurate project requirements and timely feedback
  • Supplying necessary assets, content, and access credentials
  • Reviewing and approving deliverables within agreed timeframes
  • Making payments according to the agreed schedule
  • Ensuring they have rights to all content provided to ZYANIX

5. Payment Terms

Payment terms are specified in each project proposal. Generally:

  • 50% payment is required before work commences on larger projects
  • Remaining balance is due upon project completion and delivery
  • Support services may be billed upfront or upon completion
  • All prices are in INR (Indian Rupees) or USD as specified

6. Intellectual Property

Upon full payment, clients receive full ownership of the custom work created for them. ZYANIX retains the right to showcase completed projects in our portfolio unless the client requests confidentiality in writing. ZYANIX retains ownership of any proprietary tools, frameworks, or code libraries used in the development process.

7. Confidentiality

ZYANIX treats all client information, project details, and business data as confidential. We will not disclose client information to third parties without consent, except as required by law or as necessary to provide the services.

8. Limitation of Liability

ZYANIX's liability is limited to the amount paid for the specific service in question. We are not liable for indirect, incidental, or consequential damages arising from the use of our services. Our guarantees (delivery, rebuild, no-pay-if-late) represent our maximum liability for service failures.

9. Acceptable Use

Clients may not use ZYANIX services to create or support:

  • Illegal activities or content
  • Spam, phishing, or malicious software
  • Content that infringes on intellectual property rights
  • Harassment, hate speech, or harmful content

10. Termination

Either party may terminate a service agreement with written notice. In case of termination, the client pays for work completed to date. ZYANIX may terminate services immediately if the client violates these Terms.

11. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved through good-faith negotiation, and if necessary, through appropriate legal channels in India.

12. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.
